CUSTOMER PROTECTION PLAN

PURCHASE GUARANTEE  If, at the completion of 36 months from the date of implementation of the Facility Automation System customer is not satisfied with savings, PQ Energy Services agrees to reimburse customer the total consideration of this Agreement, less the savings realized by customer for the same period of time. After the first year, customer is responsible for maintaining a service agreement throughout the guarantee period. Customer's in-house system operator(s) must successfully attend operator training at PQ's facilities upon completion of installation to maintain savings guarantee. This is an implied and expressed warranty between PQ Energy Services and the customer.

LEASE PURCHASE GUARANTEE  If, at the completion of each year, savings generated from the Facility Automation System do not equal the monthly finance payments, PQ Energy Services will pay the difference. Savings will be accumulative over the term of this agreement and will be compared to accumulated lease payments. Lease Purchase Guarantees are based on sixty (60) month lease purchasing. In order to maintain this guarantee throughout the purchase agreement, the annual Service Agreement must be obtained in years two (2) through five (5). Customer's in-house system operator(s) must successfully attend operator training at PQ's facilities upon completion of installation to maintain savings guarantee.

METHOD OF CALCULATING SAVINGS

Savings are calculated by taking one month in comparison to the same month in a prior [base] year. To match apples to apples, there are four (4) variables that will influence your billing from year to year

Equipment Usage:  Have you added or deleted equipment in the past year, or have you extended or decreased your operating hours

Billing Days:  The amount of days within a month that a meter is read, normally from 28 to 35 days. Oil and coal are calculated by the number of days of operation before a new delivery.

Degree Days:  How hot or how cold the weather has been within a month will influence the running time of your HVAC equipment. Degree day information is obtained from the National Weather Bureau for your particular area.

Rate:  The amount you are paying for the volume of energy you are consuming. This will vary from year to year.

We take exact information from your utility bills and factor your percentage up or down in correlation to these four factors.
